1. Acceptance of Terms

By accessing or using the CodingAlphas platform and services ("Services"), you agree to be bound by these Terms of Service. If you do not agree, do not use our Services. These terms apply to all visitors, users, and customers of CodingAlphas LLC ("Company").

2. Services Description

CodingAlphas provides AI-powered software development services including project estimation, custom application development, and related consulting. Our platform includes an AI quote agent that provides preliminary project estimates, which are subject to review and adjustment by our team.

3. Accounts

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the security of your account credentials.
  • You must notify us immediately of any unauthorized access to your account.
  • One person or entity may not maintain more than one account.

4. Quotes and Estimates

All quotes and estimates provided by our AI agent are preliminary and for informational purposes only. Final pricing, scope, and timelines are determined after review by our development team and are formalized in a separate Statement of Work (SOW). AI-generated estimates do not constitute a binding offer or contract.

5. Payments

  • Payment terms are specified in the applicable Statement of Work.
  • A deposit (typically 50%) is required to begin work on a project.
  • Deposits serve as a retainer and are applied toward the final project cost.
  • All payments are processed securely through Stripe.
  • Prices are in US Dollars unless otherwise specified.

6. Intellectual Property

Intellectual property rights for work produced under a project engagement are governed by the Master Service Agreement executed between the parties. Generally, CodingAlphas retains ownership of all intellectual property and grants clients a non-exclusive, perpetual license for internal use of deliverables.

7. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose.
  • Attempt to gain unauthorized access to our systems or other users' accounts.
  • Interfere with or disrupt the integrity or performance of the Services.
  • Attempt to manipulate, exploit, or circumvent the AI quote agent's controls.
  • Submit false or misleading information.

8. Limitation of Liability

To the maximum extent permitted by law, CodingAlphas LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability for any claim arising from or related to these Terms shall not exceed the amounts paid by you to CodingAlphas in the twelve (12) months preceding the claim.

9. Termination

We may suspend or terminate your access to the Services at any time for violation of these terms. You may close your account at any time by contacting us. Termination of your account does not affect any existing project engagements, which are governed by their respective Statements of Work.

10. Governing Law

These Terms are governed by the laws of the State of Colorado, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Colorado.

11. Changes to Terms

We reserve the right to modify these terms at any time. Material changes will be communicated by posting the updated terms on this page. Continued use of the Services after changes constitutes acceptance of the modified terms.
